End-User License Agreement — Oak Hall QuickBooks Integration

This End-User License Agreement ("Agreement") governs use of the Oak Hall QuickBooks Integration (the "Software"), an internal application developed by and for Oak Hall, Inc. ("Oak Hall"). By using the Software, you agree to these terms.

1. Purpose and Scope

The Software connects to Oak Hall's own QuickBooks Online company file through Intuit's authorized Accounting API solely to retrieve Oak Hall's financial records for internal accounting, reporting, and analysis. It is read-only with respect to QuickBooks data and does not create, modify, or delete records in QuickBooks Online.

2. License Grant

Oak Hall grants authorized personnel a limited, non-exclusive, non-transferable, revocable license to use the Software solely for internal Oak Hall business purposes. The Software is not sold, sublicensed, or distributed to the public or any third party.

3. Permitted and Prohibited Use

Use the Software only to access Oak Hall's own data, as authorized by Oak Hall management. Do not access any company file other than Oak Hall's authorized QuickBooks Online company. Do not reverse engineer, resell, redistribute, or use the Software in violation of Intuit's Developer Terms of Service or applicable law. Safeguard the credentials and access tokens the Software uses, and restrict access to authorized personnel.

4. Data and Privacy

The Software processes Oak Hall's financial data locally and stores only the credentials and generated report files needed to operate. It does not transmit Oak Hall data to any third party other than Intuit as required to make authorized API requests. See the Oak Hall Privacy Policy at https://oakhall.com/policies/privacy-policy.

5. Intellectual Property

The Software and all associated code and materials are the property of Oak Hall, Inc. Intuit and QuickBooks are trademarks of Intuit Inc.; use of the Intuit Accounting API does not imply endorsement by Intuit.

6. Disclaimer of Warranties

The Software is provided "as is," without warranties of any kind, express or implied. Oak Hall does not warrant that the Software will be error-free or that report output is free of inaccuracies. Users are responsible for verifying data before relying on it for financial decisions.

7. Limitation of Liability

To the maximum extent permitted by law, Oak Hall, Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from use of the Software.

8. Termination

Oak Hall may suspend or revoke access at any time. This Agreement terminates automatically upon breach or when you cease to be authorized to use the Software.

9. Governing Law

This Agreement is governed by the laws of the State of Tennessee, without regard to its conflict-of-laws principles.
